What is the network related business?
Our network related business develops network products to connect various types of equipment in a networked environment, such as an office, where computers or printers of different manufacturers coexist.
The foremost example is the print server. Developed to suit various interfaces implemented by printer makers, our internal print servers are adopted by many printer/copier manufacturers. Our external print servers, on the other hand, are designed to support most types of printers regardless of the manufacturer and typically sold through distributors as SILEX-branded print servers. We also offer network technology for printer manufacturers to implement in their products.
Built on our print server technology, the USB device server has enabled not only printers but also various types of USB devices to be shared on a network.
As for wireless technology, we are pressing ahead with the development of IEEE 802.11-ready products, including in-house manufacturing of wireless modules, as wireless networks become more widespread.

Corporate Governance

What is "Company with Committees System"?
In recent years, the roles of auditors have been reinforced and an outside director system introduced as a management oversight system. To provide more transparency to management, the Company with Committees System has also been introduced to be adopted optionally by "large companies" or "deemed large companies" under the revised Commercial Code.
This system aims to make a clear distinction between management and business operations, and is intended to strengthen corporate governance and management mobility.
We have defined the Company with Committees System as follows:
  • Establishment of three committees
The following three committees are established in the Board of Directors, and each committee consists of three or more committee members
    • Nomination Committee...Issuance of proposals for the election and dismissal of Directors
    • Audit Committee...Audits the performance of duties by Directors and Corporate Executive Officers
    • Compensation Committee...Determination of Directors and Corporate Executive Officers compensation
  • Outside Directors
The majority of the directors who constitute each committee are outside directors.
  • The Term of Directors
The term of director is one year. (It used be 2 years.)
  • Establishment of Corporate Executive Officers
The Board of Directors transfers a significant portion of its operating power to Corporate Executive Officers, who resolve any matters and issues received from the Board of Directors and carry out day-to-day operations. Their term of office is one year.
  • Auditors
The system does not allow the appointment of Auditors.
